Limit of Liability and Limit on Indemnity Obligations

The indemnity is the most negotiated yet least understood clause in contracts about software and cloud computing. This seminar will explore the key issues in indemnities about data breach, IP, and other topics. It will focus in particular on "the cause problem": the little-known issues raised by indemnities triggered by the indemnitor's wrongdoing or other actions. And it will explore the other tricks and traps lurking in indemnity clauses.
This program will examine the basics of CDA 230 and its day to day affect for those who advise internet businesses as well as those who litigate against them. It will give practical guidance as to what extend internet companies can or should edit or censor the information their users contribute to their sites and to what extent those users will actually be liable.
In this breakout we’ll share survey data covering these questions and, joined by law firm and corporate legal guest speakers, engage in an interactive discussion on the state of the industry with diverse perspectives from consultants, vendors, outside counsel and corporate legal.
